This Terms & Conditions Agreement ("Terms") is made by and between NeaterNotes, Inc., a Delaware corporation ("we," "our," "us," or "NeaterNotes"), and you, the user ("you," "your," or "User").
These Terms govern your use of the NeaterNotes services which includes the NeaterNotes application (including iOS, Android, Windows, and Web versions), NeaterNotes Cloud, NeaterNotes Account, NeaterNotes Marketplace, and related software features or content we provide (collectively, "NeaterNotes Services").
BY ACCESSING OR USING NEATERNOTES SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE NEATERNOTES SERVICES.
1. About Us and Our Services
NeaterNotes provides digital note-taking and organization tools across various platforms. Our services include the core application, cloud storage, and additional features designed to enhance your note-taking experience. NeaterNotes Services allow you to:
- Scan, digitize, and enhance handwritten notes using advanced AI technology;
- Store and organize notes across devices;
- Access and contribute to the NeaterNotes Marketplace for user-generated content.
NeaterNotes Beta Program
We may offer you the opportunity to participate in the NeaterNotes Beta Program, which provides early access to new features or services under development. By participating, you agree to share your insights to help improve NeaterNotes. If you submit your ideas, suggestions, etc. or other forms of feedback, you grant NeaterNotes a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sub-licensable license to use, modify, adapt, implement, and integrate your feedback into our products or services for enhancement and commercial purposes.
This license ensures we can optimize our offerings based on user input, delivering a continually improving experience that is optimized for our users.
2. Use of Service
You can use NeaterNotes Services in two ways:
As an unregistered user, you can:
- View content on the marketplace when available;
- Browse available features;
- Use basic functionality such as digitizing notes and store notes in an unregistered instance.
As a registered member, you can:
- Store and organize your notes linked to your account;
- Share content with others;
- Access premium features based on your subscription.
You must be at least 16 years old to register. A parent or guardian may create an account for users under 16 after reading the privacy policy with them. Please treat your login information as confidential and notify us if you suspect unauthorized access.
Upon creation of a profile within the NeaterNotes mobile application it is your responsibility to protect your registration and login information. You are obligated to refrain from sharing your password with others. You retain sole responsibility for activity associated with your account, including the loss of login information leading to inaccessibility of notes.
In the event that suspicious activity is discovered or suspected in connection with a NeaterNotes Profile, NeaterNotes reserves the right to suspend the account until ownership can be proven or reclaimed.
Any security breach of an individual profile or misuse of uploaded content as a result of negligence by the profile holder (i.e., sharing password with others) is not the responsibility of NeaterNotes. In the event that your password or profile information is compromised please contact NeaterNotes Support at contact@neaternotes.com and change your password as soon as possible.
Prohibited Use of NeaterNotes Services
When using NeaterNotes Services, you must not, and must not attempt to:
- Misuse any reporting, flagging, or complaint system, including filing false, excessive, or frivolous claims.
- Attempt to access, tamper with, or use restricted areas or non-public parts of NeaterNotes Services.
- Decompile, reverse engineer, or attempt to uncover the source code, algorithms, or internal structures of NeaterNotes Services.
- Engage in unauthorized sharing, publishing, modifying, or creating derivative works from NeaterNotes content or services.
- Exploit security vulnerabilities, bypass authentication measures, or compromise platform security in any way.
- Submit misleading, deceptive, or fake information, including engaging in phishing or spoofing activities.
- Share or store data in a manner that exceeds fair usage limits established by NeaterNotes.
- Disrupt or interfere with NeaterNotes Services by spreading malware, sending excessive traffic, or initiating denial-of-service attacks.
- Use NeaterNotes Services for illegal purposes or in violation of applicable laws and regulations.
- Send spam, promotional material, or unauthorized advertisements via NeaterNotes.
- Promote, store, or share fraudulent, defamatory, or otherwise misleading content.
- Abuse referral systems, promotional campaigns, or reward programs offered by NeaterNotes.
- Collect personal or contact information from others without their explicit consent.
- Misrepresent the origin of content, including by falsifying author details or omitting copyright notices.
- Advocate for discrimination, hatred, or violence based on race, religion, gender, or other protected attributes.
- Upload or share content that is explicit, violent, or promotes terrorism or extremist ideologies.
- Harass, threaten, or harm other users in any way.
- Solicit sensitive information, such as passwords, personal data, or financial details, from others.
- Participate in pyramid schemes, fraudulent activities, or similar deceptive practices.
- Use automated tools (e.g., bots, scrapers) to access or interact with NeaterNotes without prior consent.
- Exploit NeaterNotes AI for the creation or dissemination of spam, offensive content, or misinformation.
- Mislead others by falsely claiming NeaterNotes AI-generated content as fully human-made.
- breach any applicable law when using NeaterNotes AI
- Violate the intellectual property rights of others, including unauthorized reproduction or distribution of copyrighted material.
- Use NeaterNotes Services to benchmark, analyze, or gain insights for competitive purposes without prior approval.
- Advertise or promote products or services on NeaterNotes without authorization.
- Remove or tamper with proprietary notices, such as copyright or trademark designations, in uploaded content.
Non-compliance with these guidelines may lead to account suspension, service termination, or legal action at our discretion.
3. System Requirements and Data Charges
NeaterNotes requires a compatible device and internet access. Your service provider may charge for data usage. We aim to make NeaterNotes generally accessible to most devices but will inform you if your device does not meet the minimum system requirements when you download the application. Certain features, like cloud storage, may require additional system configurations.
4. NeaterNotes Features
NeaterNotes Cloud: Allows you to back up your content. We provide reasonable storage limits and will notify you before making significant changes to storage allowances.
NeaterNotes Beta: Provides early access to new features. Your feedback helps us improve, and you can choose whether to participate.
NeaterNotes Plus: A subscription-based service offering enhanced storage, shorthand recognition, and full access to Marketplace content. Subscription terms are detailed at the time of purchase.
5. Content and Privacy
You own your content. By using our services, you grant us permission to store and process your content to provide and improve NeaterNotes Services. NeaterNotes uses artificial intelligence to improve services and may process your data to enhance features like Optical Character Recognition (OCR).
We protect your privacy according to our Privacy Policy. We only collect data necessary to provide and improve our services. This includes:
- Basic personal data (e.g., name, email);
- Behavioral data (e.g., usage patterns);
- Content data (e.g., scanned notes).
We do not sell or rent your data to third parties.
User Content License
To provide NeaterNotes Services, we require a license to your User Content. By uploading or sharing your User Content through NeaterNotes Services, you grant us a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, and sub-licensable license to access, host, cache, store, transmit, reproduce, distribute, modify (only for formatting purposes if necessary), duplicate, adapt, translate, and create derivative works of your User Content. This license is granted solely to facilitate the provision, enhancement, and future development of NeaterNotes Services.
Our artificial intelligence and machine learning models may use your data to improve the accuracy and functionality of features including but not limited to optical character recognition (OCR), shorthand recognition, handwriting configuration, graph recognition, drawing recognition, shape recognition, and diagram recognition. By uploading handwritten notes, you explicitly allow us to use, incorporate, and improve upon that feedback to train and refine our models and enhance NeaterNotes Services.
You represent and warrant that you possess all necessary rights, authority, and permissions to grant this license, ensuring that our use of your User Content does not infringe upon any third-party rights.
6. Using NeaterNotes Responsibly
When using NeaterNotes, you agree to:
- Respect others' intellectual property rights;
- Keep your account secure;
- Use the services only for their intended purpose;
- Avoid uploading content that is offensive, illegal, or infringing.
NeaterNotes reserves the right to suspend or terminate accounts for misuse or violations of these Terms.
7. Changes to NeaterNotes Services
We’re constantly improving NeaterNotes. We’ll notify you about significant changes that affect your use of the services. For major changes, we’ll provide advance notice when possible.
8. Payment Terms
We offer both subscription and one-time purchase options. By subscribing to NeaterNotes Plus, you agree to:
- Pay the recurring subscription fee (currently $9.99/month, with discounts for verified students);
- Allow automatic renewal unless canceled in advance.
Refunds are subject to applicable laws and payment processor policies. You may be eligible for a refund within 14 days (or relevant time period required by presiding law) of purchase.
9. Service Availability
While we strive for reliability, occasional interruptions may occur due to maintenance or unforeseen issues. We recommend backing up important notes locally.
10. Third-Party Services
NeaterNotes integrates with third-party providers (e.g., Stripe for payments, AWS for cloud storage). These services operate under their respective terms, and NeaterNotes disclaims liability for their actions.
11. Security
We prioritize your data’s security with encryption and other safeguards. However, users are responsible for maintaining the security of their accounts and promptly reporting unauthorized access.
12. Termination and Suspension
NeaterNotes may suspend or terminate your account for:
- Breaches of these Terms;
- Prolonged inactivity;
- Non-payment of fees.
Users will receive advance notice of account suspension or termination where feasible.
13. Limitation of Liability
NeaterNotes is provided "as is," without warranties. We disclaim liability for:
- Loss of data;
- Service interruptions;
- Any indirect or consequential damages.
14. Intellectual Property Rights
All NeaterNotes software, trademarks, and content are the intellectual property of NeaterNotes or its licensors with the exception of User Content and select content such as specific fonts and iconography. Users may not reproduce, distribute, or modify these materials without permission.
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved through binding arbitration or an out-of-court dispute resolution platform determined by NeaterNotes.

Additional Terms
17. Fair Usage and Data Limits
NeaterNotes Cloud storage is subject to a fair usage limit of 100GB per month. We may adjust bandwidth if usage exceeds this threshold. Users will be notified before any limitations are applied.
18. Platform-Specific Requirements
When accessing NeaterNotes through the Apple App Store or the Google Play Store:
- These Terms are between you and NeaterNotes; Apple/Google is not a party
- Apple/Google has no obligation to provide maintenance or support
- Apple/Google is not responsible for addressing claims relating to the Services
19. Marketplace Content
For content submitted to NeaterNotes Marketplace:
- You grant NeaterNotes a worldwide, non-exclusive license to distribute and monetize
- Revenue sharing is currently set at 70% to creators, 30% to NeaterNotes
- You warrant that submitted content doesn't infringe third-party rights
- NeaterNotes may remove content that violates these Terms
20. Force Majeure
NeaterNotes shall not be liable for delays or failures resulting from circumstances beyond reasonable control, including:
- Natural disasters
- Network infrastructure failures
- Government actions
- Other unforeseen events
21. Account Management
Inactive accounts:
- Free accounts inactive for 12 months may have notes deleted.
- Paid accounts inactive for 12 months after subscription have notes deleted.
- Users will receive 30 days notice before the deletion of any information stored within an account.
- Account recovery will be available within 60 days of termination
EU Users
For users in the European Union:
- Mandatory consumer protection laws in your country apply
- You have the right to withdraw within 14 days of subscription
- Disputes may be resolved through EU Online Dispute Resolution platform
- Data processing complies with GDPR requirements
User Feedback License
By providing feedback on NeaterNotes Services:
- You grant us perpetual rights to implement suggestions
- We may incorporate feedback into future updates
- You warrant feedback doesn't infringe third-party rights
